Brazilian banks close merger

Banco do Brasil has closed its acquisition of a stake in Banco Votorantim for US$2.35 billion.

França e Nunes Pereira Advogados advised the state-owned bank, Brazil’s largest, in its purchase of a 49.99 per cent stake in Banco Votorantim, which retained Machado, Meyer, Sendacz e Opice Advogados. The firm Velloza, Girotto e Lindenbojm Advogados Associados represented BTG Pactual as financial adviser to Banco do Brasil.

The deal was first announced in January, receiving approval from Brazil’s Central Bank earlier this month.

“We were responsible for the legal due diligence, which was one of the most complete and comprehensive we have experienced,” says partner Ricardo Mourão of Velloza, Girotto e Lindenbojm.

Although the deal was led from Brazil, Arnold & Porter LLP provided assistance on US regulatory matters.

Under the deal, Banco do Brasil will pay US$1.68 billion to Votorantim Financas, the company that owns the bank, with the remaining US$672 million going to Banco Votorantim as a capital increase.

Banco Votorantim is Brazil’s eighth-largest bank, with total assets of US$50.6 billion.
